Terms of Service

By accessing or using GetReserve (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users, including restaurant partners ("Partners") and guests making reservations ("Guests"). Where terms differ, we will specify which party they apply to.

GetReserve is a reservation management platform that enables restaurants to manage bookings and guests to discover and book tables at participating restaurants. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

To access certain features you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your password secure and confidential
• Notify us immediately of any unauthorised access to your account
• Take responsibility for all actions taken under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Restaurant partners agree to:

• Provide accurate restaurant information, including hours, capacity, and menus
• Honour all confirmed reservations made through the platform
• Keep availability and table inventory up to date
• Pay applicable subscription fees as described in your partner agreement
• Comply with all applicable health, safety, and licensing regulations

GetReserve is not responsible for the actions, services, or quality of any restaurant. We act as a technology intermediary only.

Guests agree to:

• Honour reservations they have confirmed, or cancel with reasonable notice (typically at least 24 hours unless stated otherwise by the restaurant)
• Provide accurate contact and party-size information
• Follow the restaurant's policies regarding late arrivals and cancellations

Repeated no-shows may result in account suspension.

For Partners: Subscription fees are charged as described in your partner agreement. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice.

For Guests: Some reservations may require a deposit or prepayment. Refund policies for prepaid reservations are set by the individual restaurant and disclosed at the time of booking. GetReserve is not responsible for refunds that are the restaurant's obligation.

All payments are processed by third-party payment processors. By submitting payment information, you agree to their terms.

The Service, including all software, design, text, graphics, and other content, is owned by GetReserve Inc. and protected by copyright, trademark, and other laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. Partners grant GetReserve a non-exclusive license to display their restaurant name, logo, photos, and menu information on the platform.

You agree not to:

• Use the Service for any unlawful purpose
• Impersonate another person or entity
• Scrape, crawl, or systematically access the Service without our consent
• Attempt to gain unauthorised access to any part of the Service
• Post false, misleading, or defamatory reviews
• Interfere with the operation of the Service or its infrastructure

Violation of these prohibitions may result in immediate account termination and legal action.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

TO THE FULLEST EXTENT PERMITTED BY LAW, GETRESERVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

Our total liability to you for any claim arising out of these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD $100.

You agree to indemnify, defend, and hold harmless GetReserve Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Either party may terminate use of the Service at any time. GetReserve may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases. Sections 7, 9, 10, and 11 survive termination.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to personal jurisdiction in those courts.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 30 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
